Introduction to the Division

Corporate & Capital Markets

Our Transaction Services team is a sector agnostic team with a broad range of specialisms including Capital Markets transactions, financial services, natural resources and technology.  

‘Variety’ best describes the work of this division.  You could be involved in a wide range of engagements from the listing of a major corporate on to a stock exchange to completing due diligence engagements with owner-managed businesses. We currently provide various transaction support services including: Reporting Accountant services on Capital Markets transactions, Quality of earnings reviews, Full Financial Due Diligence, SPA reviews, Vendor Assist work, Carve outs, Financial modelling, and MBO support.

We work for banks, private equity and trade buyers both buy and sell side primarily in the UK but increasingly cross border. Our assignments can range in size from 2-3 day reviews to many months depending on the size of the transaction and risk involved.

Your role would be across the whole transaction,  being the ‘on-site’ lead for all aspects of the deal from engagement, through the diligence phase and to completion.

 

Responsibilities

Job Duties and Responsibilities

Other key responsibilities would include:

  • To support the TS team enabling them to grow the existing size of the client portfolio which gives the potential for larger and more varied projects
  • To be knowledgeable of the capital markets sector and requirements
  • To write and review written due diligence reports to ensure concise, quality and clear presentation of findings (where required)
  • To review and analyse financial models to a high standard
  • To participate in thought leadership, meetings and events
  • To manage multiple clients and transactions at any given time
  • To review SPAs and prepare funds flows
  • To prepare / review net working capital and net debt spreadsheets to be used in deals
  • Liaise with tax and IT or other specialists as appropriate to deliver full reports
  • To manage and coach junior secondment staff
  • To be a good communicator in all mediums and willing to work alongside clients in high pressure situations
  • To be able to socialise and network with staff at clients, banks, PE firms or the like and to maintain those relationships
  • To be able to demonstrate an understanding of the commercial aspects of a due diligence engagement and capital markets transaction
  • To be able to demonstrate the ability to deliver transactions from start to finish.
  • To be able to analyse large amounts of data and provide clear and concise findings

 

Person Specification

Skills, Experience and Qualifications

  • ACA (or equivalent) qualified accountant
  • 6-12 months working in a transaction services team
  • To be an advanced excel user
  • To be able to write high quality reports
  • Flexible working style and approach
  • Experience in capital markets transactions beneficial but not required
  • Experience in financial services sector beneficial but not required
  • Experience in natural resources sector beneficial but not required
